Terms of Service

By accessing or using Keyhold (“the Platform,” “we,” “our,” or “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, do not use the Platform.

We reserve the right to modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the revised Terms. We will notify registered users of material changes by email or in-app notification.

You must be at least 18 years of age to use Keyhold. By creating an account, you represent and warrant that you are 18 or older and that you have the legal capacity to enter into a binding agreement. We may require age verification at any time. Accounts found to belong to minors will be immediately terminated and their data deleted.

Keyhold is intended for consenting adults only. All activities on the Platform — including lock creation, keyholder relationships, and content sharing — must involve only adults who have freely given their informed consent.

You must provide accurate, complete, and current registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] of any unauthorized use of your account.

You may not create multiple accounts to circumvent suspensions, bans, or feature limits. Accounts are non-transferable.

You agree not to use the Platform to:

• Upload, share, or distribute child sexual abuse material (CSAM) or any content depicting minors in a sexual manner. Violations will be reported to the National Center for Missing and Exploited Children (NCMEC) and relevant law enforcement.
• Engage in non-consensual activities or coerce other users.
• Harass, threaten, stalk, or intimidate other users.
• Impersonate any person or entity or misrepresent your affiliation.
• Upload malware, viruses, or any malicious code.
• Attempt to gain unauthorized access to any part of the Platform or its infrastructure.
• Scrape or systematically download Platform data without written permission.
• Use the Platform for commercial solicitation without our prior written consent.
• Violate any applicable local, national, or international law or regulation.

You retain ownership of content you submit to the Platform (“User Content”). By submitting User Content, you grant Keyhold a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and moderate that content solely as necessary to operate the Platform.

You represent and warrant that: (a) you own or have the right to submit all User Content; (b) your User Content does not infringe any third-party intellectual property, privacy, or publicity rights; and (c) all individuals depicted in photos or videos are adults who have consented to the content.

We use automated scanning (PhotoDNA) and human moderation to detect and remove illegal content. We reserve the right to remove any User Content at our discretion without notice.

The Platform facilitates consensual keyholder/wearer arrangements. Keyhold does not endorse or supervise any specific arrangement. Users are solely responsible for establishing, managing, and ending their keyholder relationships safely and consensually.

Keyhold is not liable for any harm arising from keyholder relationships conducted through the Platform. We strongly encourage all users to establish clear, explicit consent with their partners before beginning any arrangement and to have a safe word or emergency exit protocol in place.

Certain features require a paid subscription (“Keyhold Plus” or “Keyhold Premium”). Subscription fees are billed in advance on a monthly or annual basis. All fees are stated in US dollars and are non-refundable except as required by law or as expressly stated in our refund policy.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until that date. We reserve the right to change pricing with 30 days’ notice to subscribers.

Payment processing is handled by third-party processors (currently CCBill and/or Stripe). By subscribing, you also agree to their respective terms of service and privacy policies.

Keyhold respects intellectual property rights. If you believe content on the Platform infringes your copyright, please submit a DMCA takedown notice to our designated agent:

Your notice must include: (1) identification of the copyrighted work; (2) identification of the infringing material and its location on our Platform; (3) your contact information; (4) a statement of good faith belief; and (5) a statement of accuracy under penalty of perjury.

Repeat infringers will have their accounts terminated.

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYHOLD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

You agree to indemnify, defend, and hold harmless Keyhold and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion, with or without notice. Upon termination, your right to use the Platform immediately ceases. Sections 5, 10, 11, 12, 14, and 15 survive termination.

You may delete your account at any time via Settings. Following deletion, we will retain certain data as required by law or for legitimate business purposes as described in our Privacy Policy.

These Terms are governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict-of-law provisions. You agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Utah for resolution of any dispute arising from these Terms.

Informal resolution: Before filing any legal claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

These Terms constitute the entire agreement between you and Keyhold regarding the Platform and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision of these Terms is not a waiver of that right.
